Anthropic has filed publicly to list its shares on the Nasdaq Global Select Market under the ticker "ANT", according to its registration statement with the US Securities and Exchange Commission. The filing, made on Monday, 26 October, gives the first full look at the business behind Claude: revenue of $16.3 billion in the first six months of 2026, up from $1.16 billion a year earlier.

The price range and the number of shares on offer are still blank. TechCrunch reported the filing first, and Technext followed.

Revenue grew more than thirteenfold in a year, while the operating loss shrank to $693 million.

The numbers Anthropic has disclosed

All figures come from the income statement in the filing.

PeriodRevenueOperating loss
2023$41 million$551 million
2024$386 million$2.98 billion
2025$4.59 billion$8.06 billion
First half of 2025$1.16 billion$2.14 billion
First half of 2026$16.29 billion$693 million

The headline net loss looks alarming at $80.7 billion for the first half of 2026. Most of it, $72.4 billion, is a change in the fair value of convertible notes, derivatives and SAFEs, an accounting charge that grows as the company's valuation rises. It is not cash leaving the business.

Anthropic is careful about the future. The filing says it does not expect revenue to keep growing at comparable rates and that it "may not achieve or sustain profitability."

Who will control the company

Buying ANT shares will not buy much say. Anthropic's seven co-founders, including chief executive Dario Amodei and president Daniela Amodei, will hold a single Class F share through a company called the Founder LLC. That share carries 50.1% of the votes on most shareholder matters and no economic rights.

A second special share goes to the Long-Term Benefit Trust, the independent body Anthropic set up in 2023 to protect its public benefit mission. Through it, the trust elects the directors who will make up a majority of the board. Anthropic remains a Delaware public benefit corporation, which means directors must weigh its safety mission alongside shareholder returns.

Big customers carry the business

The filing shows how much of Anthropic's growth comes from large companies:

  • More than 11,900 customers paid $100,000 or more over the 12 months to 30 September 2026, up from about 1,500 at the end of 2025 and about 20 at the end of 2023.
  • More than 1,900 paid $1 million or more.
  • About 250 paid $10 million or more.

TechCrunch's reading of the filing adds that more than half of the $100,000 customers now use both the Claude developer platform and an app such as Claude Code. Anthropic also sells Claude through Amazon Web Services, Google Cloud and Microsoft Azure while keeping the customer contract itself.

The risk it puts in writing

Few companies describe their own product the way Anthropic does in its risk factors. The filing says sufficiently advanced AI systems could "pose catastrophic or existential risks to humanity" if they are not built and run with proper safeguards. It also notes that its models are already speeding up its own research.

What it means for Nigerian developers and businesses

Nothing changes in how Claude is sold in Nigeria today. The bigger shift is transparency. As a listed company, Anthropic will publish quarterly results, so builders on the Claude API will see how compute costs, price competition and dependence on a few large customers move. Those are the forces that decide what API access costs in naira.

What happens next

Before marketing the shares to investors, Anthropic must file an amendment with the price range and share count. Goldman Sachs, Morgan Stanley, J.P. Morgan and Citigroup lead a list of more than 20 underwriters. No listing date has been set.

The filing turns Claude's maker from a private lab into a company that must report its numbers every quarter.
